These Terms & Conditions ("Terms") govern your access to and use of the Emara Invoice platform, websites, and APIs (collectively, the "Service"), operated by Momentum Tech ("Emara Invoice", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Definitions

  • "Customer" / "you" — the business or person using the Service.
  • "Service" — the Emara Invoice conversion, validation, integration, and dashboard features.
  • "ASP" — an FTA-accredited Accredited Service Provider that transmits invoices to the FTA.
  • "Content" — invoice data and other information you submit to the Service.

2. The Service

Emara Invoice is invoice conversion and integration middleware. It converts your invoice data into PINT-AE UBL 2.1 XML, validates it against UAE business rules, and makes it available for forwarding to an ASP. Emara Invoice is not an FTA-accredited ASP and does not itself submit invoices to the Federal Tax Authority. Final transmission to the FTA is the responsibility of you and your chosen ASP.

3. Accounts & eligibility

  • You must provide accurate registration details, including a valid Tax Registration Number (TRN) where applicable, and keep them up to date.
  • You are responsible for safeguarding your login credentials and API keys, and for all activity under your account.
  • You must be authorised to act on behalf of the business you register.

4. Customer responsibilities & tax compliance

  • You are solely responsible for the accuracy, completeness, and legality of the invoice data you submit.
  • You remain responsible for meeting your own tax, VAT, and e-invoicing obligations under UAE law, including appointing an accredited ASP and meeting applicable deadlines.
  • The Service assists with format conversion and validation but does not constitute tax or legal advice and does not guarantee acceptance by the FTA or any ASP.

5. Acceptable use

You agree not to: (a) use the Service unlawfully or to submit fraudulent invoices; (b) attempt to gain unauthorised access, disrupt, or reverse engineer the Service; (c) exceed documented rate limits or circumvent security; (d) upload malware or infringing content; or (e) resell the Service without our written consent.

6. Plans, fees & payment

  • Paid plans, features, and limits are described at sign-up or in your order. Fees are exclusive of VAT unless stated.
  • Fees are payable in advance and are non-refundable except where required by law.
  • We may change pricing on reasonable prior notice; changes apply from your next billing cycle.

7. APIs & service availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and may perform maintenance. API limits and specifications may change with reasonable notice.

8. Intellectual property

The Service, including its software, design, and documentation, is owned by Momentum Tech and its licensors. You retain ownership of your Content. You grant us a limited licence to process your Content solely to provide the Service.

9. Third-party services

The Service integrates with third parties (e.g., ERPs, accounting systems, ASPs, hosting and infrastructure providers). We are not responsible for third-party services, and your use of them is governed by their own terms.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not warrant that converted documents will be accepted by any ASP or the FTA.

11. Limitation of liability

To the maximum extent permitted by law, Emara Invoice and Momentum Tech will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless Emara Invoice and Momentum Tech from claims arising out of your Content, your use of the Service, or your breach of these Terms or applicable law.

13. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law. On termination, your right to use the Service ends; certain provisions (including IP, disclaimers, and liability) survive.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

15. Governing law & jurisdiction

These Terms are governed by the laws of the United Arab Emirates. The courts of the applicable Emirate (as specified in your order, or otherwise the competent UAE courts) have exclusive jurisdiction, subject to any mandatory consumer protections.
